Terms and Conditions

1. Introduction
Welcome to PromoBridge (“Company”). These Terms and Conditions ("Terms") govern your use of the PromoBridge platform ("Platform" or “Website”) and the services provided therein ("Services"). By accessing or using this website, submitting a request, or engaging us for services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
2. Acceptance of Terms
By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree to these Terms, do not use the Platform.
3. Services Description
PromoBridge is a marketing and consulting service provider operating under the laws of Georgia. We provide branding, advertising, digital marketing, and related services for businesses worldwide. You can find a detailed list of services on our Website. This list of services is subject to change periodically.
PromoBridge may provide additional custom services, subject to written confirmation.
4. Payments and Billing
4.1 General Payment Terms
- Prices displayed on the Website are indicative.
- Final pricing is determined in the proposal or invoice.
- Payments must be made in the currency and method stated by PromoBridge.
- Work begins only after the required upfront payment is received.
4.2 Subscriptions
- Subscriptions renew automatically each month unless the Client cancels at least 10 days prior to renewal.
- No refunds for unused time within an active billing cycle.
4.3 Late Payments
- Services may be paused if payment is overdue.
- The Company may charge late payment penalties allowed by Georgian law.
4.4 Refund Policy
Due to the nature of digital marketing services, all payments are non-refundable, except when required by Georgian consumer protection law.
5. Client Responsibilities
- Provide accurate contact details.
- Respond to messages, approvals, and requests in a timely manner.
- Supply required assets (logos, content, credentials, data).
- Ensure full ownership or licensing of all materials they provide.
- Not request any content or advertisement that violates law, copyright rules, or platform policies.
- Ensure timely payments.
The Company is not responsible for delays or performance issues caused by Client’s failure to meet these obligations.
6. Intellectual Property Rights
6.1 Ownership of Deliverables
- Final deliverables become the Client's property only after full payment.
- PromoBridge retains ownership of drafts, templates, methodologies, and internal tools used to produce the deliverables.
6.2 Client Materials
- All materials they provide belong to them or are legally licensed.
- They grant PromoBridge a temporary license to use these materials for service delivery.
6.3 Portfolio Rights
- Unless agreed otherwise, PromoBridge may display completed projects, case studies, results, and anonymized statistics in its portfolio.
- Use non-confidential work examples for marketing purposes.
Clients may request written removal of sensitive data.
7. Third-Party Platforms and Tools
PromoBridge may use third-party services such as:
- Google Ads
- Meta (Facebook/Instagram)
- TikTok Ads
- Analytics and automation platforms
PromoBridge cannot guarantee:
- Algorithm stability
- Platform performance or outages
- Ad account approval or rejection
- Instant or specific marketing results
External budgets (advertising spend) are always the responsibility of the Client unless otherwise agreed.
8. Limitation of Liability
- PromoBridge is not liable for indirect, incidental, or consequential damages.
- PromoBridge does not guarantee specific ROAS, CPC, CAC, rankings, or sales volume.
- PromoBridge’s total liability is capped at the amount paid by the Client for the service within the last 30 days.
- The Client is responsible for the accuracy and legality of all materials submitted.
9. Termination of Services
9.1 Termination by Client
- Subscriptions: 10 days before renewal
- Fixed projects: No refunds for completed work phases
9.2 Termination by PromoBridge
- Payment is overdue
- Client violates Terms
- Client requests illegal, unethical, or harmful content
- Cooperation becomes impractical due to Client behavior
PromoBridge retains the right to refuse service to any party at its discretion.
10. Governing Law
All matters related to this agreement are governed by the Law of Georgia, including the Civil Code of Georgia, the Law on Personal Data Protection, and relevant regulations.
11. Amendments
PromoBridge may modify these Terms at any time. Any changes will be posted on this page, and your continued use of the Website or services after such changes have been made constitutes acceptance of the new Terms.
Updated Terms become effective immediately upon publication.
